Article 1: Introduction

These terms and conditions govern the use of the Baily platform, a SaaS (Software as a Service) provided by Baily Corp FZE LLC, located at Business Centre, Sharjah Publishing City Free Zone, Sharjah, United Arab Emirates. By accessing or using our services, you agree to comply with these terms of use. If you do not agree with these terms, you must not use the platform.

In these terms, the following terms are defined as follows:

• Service/SaaS: The Baily platform, including all its features and associated services.

• User: Any individual or entity using the services provided by Baily.

• User Account: The profile created by the user to access the platform's features.

• Stripe: The third-party payment service provider handling financial transactions. Payments made via Baily are subject to Stripe’s terms and conditions (available on the Stripe website).

• Personal Data: Any information that identifies an individual directly or indirectly.

Article 3: Acceptance of Terms

By creating an account on www.getbaily.com, the user acknowledges that they have read, understood, and agreed to the Terms and Conditions without reservation. The user agrees to comply with all conditions outlined in this document. If the user does not accept these terms, they must not proceed with creating an account or using the platform.

Article 4: Use of the Platform

The user agrees to use the Baily platform in accordance with local and international laws and regulations, as well as these terms. The Baily platform is intended for professional use in the construction and building sectors. The user must have the necessary skills and authorizations to use the provided services.

Article 5: Account Creation and Access

To access the platform, the user must register by creating a personal or professional account. The user is responsible for providing accurate and complete information during registration. The user is responsible for the security of their password and for any activities conducted through their account. If the password is lost or stolen, the user must notify Baily immediately.

Article 6: Payment Terms

Payments on the platform are processed via Stripe, a third-party service provider. Transactions are subject to Stripe's terms of use. Baily is not responsible for any issues related to payments processed through Stripe.

The user agrees that Baily uses Stripe for recurring payments and other financial transactions. Payments are secure and comply with applicable payment security regulations, including the General Data Protection Regulation (GDPR) for European users and the California Consumer Privacy Act (CCPA) for U.S. users.

Article 7: Intellectual Property

All intellectual property rights associated with the Baily platform, including copyrights and trademarks, remain the exclusive property of Baily Corp FZE LLC. The user agrees not to reproduce, distribute, or sell the platform's content without prior permission from Baily.

Article 8: Privacy and Data Protection

Baily respects user privacy and protects personal data in accordance with our Privacy Policy. Users consent to the collection and use of their personal data for service provision. Data collected may be shared with third parties, including for payments via Stripe.

Baily complies with data protection laws, including GDPR in Europe and CCPA in California.

Article 9: Data Security

Baily implements security measures to protect users' data. However, no transmission method or data storage is completely secure. Baily cannot guarantee the absolute security of transmitted information.

Article 10: User Responsibilities

The user is responsible for all activities related to their account. They agree not to use the platform for illegal or harmful activities and not to disrupt its operation. The user must also respect the intellectual property rights of other users and Baily.

Article 11: Modifications to Terms

Baily reserves the right to modify these terms at any time. Modifications will be notified to the user via the platform. By continuing to use the service after modifications, the user accepts the updated terms.

Article 12: Limitation of Liability

Baily is not liable for any direct, indirect, special, or consequential damages arising from the use of the platform, including loss of profits or data. The user uses the platform at their own risk.

Article 13: Account Termination

Baily reserves the right to suspend or terminate access for any user who violates the terms. The user remains responsible for outstanding financial obligations after termination. The user may terminate their account at any time by contacting customer support.

Article 14: Region-Specific Legal Provisions

• European Union: In compliance with GDPR, Baily collects and processes personal data only with explicit user consent.

• United States: Under CCPA, users from California have specific rights regarding the collection and processing of their personal data.

• United Arab Emirates: Baily complies with local cybersecurity and data protection laws in the UAE.

Article 15: Applicable Law and Dispute Resolution

These terms are governed by the laws of the United Arab Emirates. Any dispute will be submitted to the courts in Sharjah, UAE.

Article 16: Force Majeure

Baily will not be liable for any delays or failures caused by events of force majeure, as defined by applicable law.
